Job Description

Y-USA has an opportunity in the Office of General Counsel for a Senior Counsel or an Assistant General Counsel, dependent on experience.

The role is a generalist position that will support both the EVP/Chief Legal Officer and the VP/Deputy General Counsel/Chief Compliance Officer by providing legal advice on a wide range of legal issues and compliance advice applicable to non-profit organizations. A successful candidate will have emerging or substantial experience with negotiating and drafting contracts and a willingness to handle a variety of matters. The portfolio of work and responsibilities will vary based on the experience of the individual and the needs of the organization.

Juris doctorate required.

Illinois licensure or eligible for limited license for in-house counsel required.

Senior Counsel: Minimum 3-5 years of experience in a corporate legal environment or as outside counsel is required. Must be willing to learn unfamiliar areas of work if an emerging practitioner.

Assistant General Counsel: Minimum 6-8 years of experience in a corporate legal environment or as outside counsel is required. Must bring a substantial amount of experience to the role.

Demonstrated ability to effectively present and communicate information to colleagues and senior leadership.

Demonstrated experience in contracts and/or corporate transactions is required.

Demonstrated ability providing good, proactive professional guidance and advice, and sound business-focused solutions that combine excellent judgment, strategic thinking, creativity, risk-taking, and technical expertise.

Demonstrated ability to effectively interact with a variety external stakeholder and vendors.

Exceptional written, verbal and interpersonal communication skills with the ability to communicate and drive innovation at multiple levels.

Strong background in not-for-profit law is preferred.

Collaborative work style that ensures all stakeholders are consulted where appropriate.

Intermediate level of proficiency in Microsoft Office is required

40% Contracts

Oversee the review and negotiations of contracts.

Draft, review and negotiate various types of contracts including memoranda of understanding, software license agreements, non-disclosure agreements, vendors agreements, commercial co-venture and cause related marketing agreements, sponsorship agreements, service provider agreements, and technology agreements.

Develop, review and recommend updates to templates for frequently used agreements.

30% Legal Consulting

In partnership with Vice President/Deputy General Counsel/Chief Compliance Officer, manage

Financial development

Marketing and communications

Strategic sourcing

Service delivery/program development and innovation teams

Information Technology

Participate and provide legal updates as a member of cross-functional teams as assigned.

10% Policies and Procedures

Oversee the development and review of organizational policies and procedures.

Draft, review, and assist in the development and maintenance of legal documents, such privacy policies and procedures.

10% Compliance

In partnership with the Vice President/Deputy General Counsel/Chief Compliance officer, support organizational compliance efforts:

Draft and maintain compliance policy, disclosures, disclaimers, FAQs, and related communications.

10% Outside Counsel Management

In partnership with the Vice President/Deputy General Counsel/Chief Compliance officer, manage and triage outside counsel work related to privacy, technology and data.

Essential Functions

Develop to or serve as a strategic business partner and trusted legal advisor to Y-USA’s leadership team, help advance strategic business initiatives and provide day-to-day support.

Takes the initiative and demonstrates a proactive, holistic approach to problem-solving.

Evaluate evolving laws and regulations and provide comprehensive advice regarding their impact to Y-USA departments and external partners that support the service delivery model for local YMCAs.

Assist in driving the development of procedures, tools and metrics to monitor use and effectiveness of Y-USA service delivery, and reports on such trends.

Manage the contract intake process for the Office of the General Counsel by working with Procurement and other Y-USA departments to determine appropriate legal review.

Collaborate with the Y-USA Financial Development team in managing the Office of the General Counsel grant review process.

Draft, review, and negotiate various contracts for departments across Y-USA.

Manage the Y-USA policy governance framework.
